MCF advises on the disposal of NOSKE-KAESER Group’s Shipping & Offshore business to ENGIE Axima
ENGIE Axima, a subsidiary of the French energy giant ENGIE Group, acquired NOSKE-KAESER Maritime Solutions GmbH (NOSKE-KAESER), a globally active supplier of turnkey solutions (HVAC, refrigeration, firefighting, CBRN-protection systems) for the Marine, Navy and Oil & Gas markets. At the time of the disposal, NOSKE-KAESER was continuing its business operations under the supervision of an insolvency administrator. MCF has been accompanying NOSKE-KAESER for many years and in doing so developed profound expertise with regard to the company’s business and markets. This allowed MCF to act as principal in the transaction on behalf of the insolvency administrator, Jan. H. Wilhelm of the law firm hww hermann wienberg wilhelm.

The Deal
The acquisition will accelerate ENGIE Axima’s Marine Oil & Gas department’s development plan and strengthen its leading position in the engineering and contracting fields of HVAC (heating, ventilation, and air conditioning), refrigeration, firefighting and CBRN (chemical, biological, radiology, nuclear) protection systems. Philippe Le Berre, Managing Director of the Marine and Oil & Gas Department of ENGIE Axima, said: “NOSKE-KAESER’s acquisition allows ENGIE Axima to consolidate its position on the Cruise & Ferries, Oil & Gas and Navy markets. Thanks to this acquisition, we will also be able to enter new markets such as offshore wind energy and spread our global footprint in installations as well as in services with two strong bases in France and in Germany.”
The transaction has already been approved by German regulatory authorities and includes NOSKE-KAESER’s headquarters in Hamburg, Germany as well as its subsidiaries in Australia, India, Malaysia and Turkey. The company will become a wholly-owned subsidiary of ENGIE Axima.
The Target
For more than 135 years, NOSKE-KAESER has developed innovative solutions to meet the challenges of the shipbuilding and offshore industries. The company provides globally recognized cutting-edge technology in the areas of air conditioning/ventilation, CBRN (chemical, biological, radiological and nuclear) protection, refrigeration technology, fire protection and pipe systems for naval vessels, merchant and special-purpose ships, passenger ships and mega yachts or offshore platforms, as well as comprehensive worldwide service from a single source and tailored to the customer’s needs.
Prior to the transaction, NOSKE-KAESER had continued its operations under administration. The insolvency administrator conducted a restructuring leading to a strategic strengthening of the company, e.g. by significantly enhancing NOSKE-KAESER’s international presence, establishing a new sector for offshore wind-energy and revitalising the cruise business. MCF had also advised on the sales of NOSKE-KAESER’s Container Service Business and the Rail & Vehicles Business back in 2015 and 2016.
