MCF advises Partnera on the investment in Uusioaines
Partnera Oy (“Partnera”), a Finland-based investment company and Finnish Industry Investment Oy (“Tesi”), a state-owned investment company, have reached an agreement to invest in Uusioaines Oy (“Uusioaines”). The company is the leading glass recycler and foam glass manufacturer in Finland. The total consideration of the transaction is EUR 19.8 million on a debt and cash free basis. MCF acted as financial adviser to Partnera and helped facilitate the deal with a proven track-record in circular economy transactions.

The Deal
Following the transaction, Partnera becomes the largest owner of Uusioaines with a 58% stake. In addition, the company’s shareholders will include Tesi as well as the former sole owner and founder, and the Managing Director. With the new ownership structure, the company is well positioned for future growth. The glass recycling and foam glass segments provide interesting business opportunities, supported by Uusioaines’ strong domestic market position, innovative products and increasing demand for environmentally friendly solutions across the market.
The Target
Uusioaines is the leading glass recycler and foam glass manufacturer in Finland. The company processes up to 80,000 tons of glass annually. At its facilities, glass products are converted to cullet, which is supplied to various industry segments such as glass container and glass wool production, and flat glass manufacturing. Additionally, by-products from the recycling process are utilised to produce foam glass, which is a highly versatile and environmentally friendly product used for construction. In 2017, the company’s net sales amounted to EUR 14.3 million. Uusioaines is based in Forssa and employs 35 employees.
